1. General Information Regarding Copypedia and its Terms of Service ("Terms").

Welcome to Copypedia, the world’s first ever online resource for recognizing, reporting, and viewing creativity and its use. Each day, Copypedia users use Copypedia and its products and services to report and otherwise document the use of creative material.

Please read these terms carefully because they apply to your use of all websites that Copypedia owns and operates (the "Websites"), and the products and services provided through or in conjunction with the Websites (sometimes, "Tools" or "Services"). Websites include, but are not limited to, the website domain copypedia.com (collectively, together with all sub-domains thereof). Copypedia LLC ("Copypedia") is a Delaware limited liability company with a business address of 16192 Coastal Highway, Lewes, DE 19958, United States. Sometimes one or more of the above may be referenced herein separately or together as ‘Copypedia’.

Copypedia is controlled and offered for use from its facilities in the United States of America. Copypedia makes no representations that Copypedia is appropriate or available for use in other locations. If you are accessing or using Copypedia from other jurisdictions, you do so at your own risk and you are responsible for compliance with local law. Notwithstanding the foregoing, the Websites may contain or provide links to Content (See Section 6) hosted on websites located outside of the United States.

Your use of Copypedia will always be subject to, at a minimum, the terms and conditions set out in the Terms. In addition, your use of Copypedia may also be subject to the terms of any legal notice applicable to Copypedia, in addition to the Terms. All such terms supplementing these Terms may be referred to as "Additional Terms." Where Additional Terms apply to Copypedia, these will be made reasonably accessible for you to read or be notified of.

The Terms, together with any Additional Terms, form a binding legal agreement between you and Copypedia in relation to your use Copypedia. Collectively, this legal agreement includes the below Terms. If there is any contradiction between the Additional Terms and the Terms, then the Additional Terms shall take precedence in relation to whatever part of Copypedia to which the Additional Terms apply.

2. Your Agreement to the Terms.

YOUR ACCESS TO COPYPEDIA (INCLUDING MERE BROWSING) OR USE OF COPYPEDIA IN ANY WAY SIGNIFIES THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THE TERMS. By accessing or using Copypedia you also represent that you have the legal authority to accept the Terms on behalf of yourself and/or any party you represent in connection with your use of Copypedia.

If you do not agree to the Terms, you are not authorized to use Copypedia.

3. Changes to the Terms.

From time to time, Copypedia may change, remove, add to (including without limitation by way of Additional Terms) or otherwise modify the Terms, and reserves the right to do so in its discretion. In that case, Copypedia will post the updated Terms, as relevant, to the applicable Website(s) and indicate the date of revision. Copypedia encourages you to periodically review the Terms.

In addition, if changes to Terms are material, Copypedia will make reasonable efforts to provide notice to you electronically. For example, Copypedia may send a message to your email address that is on file, or may display a notice on the Websites indicating that the Terms have changed. All new and/or amended Terms take effect immediately; provided, however, that if deemed material by Copypedia in its sole discretion, such new and/or additional material terms will be marked as such and will take effect 30 days after they are posted by Copypedia.

Notwithstanding the foregoing:

i) no modification to the Terms will apply to any dispute between you and Copypedia that arose prior to the effective date of any modification; and

ii) if you do not agree with any modification to the Terms, you agree to cease use Copypedia.

Your continued use of Copypedia in any way after new and/or revised Terms are effective indication that you have read, understood, and agreed to those Terms.

4. Provision of Copypedia Generally.

Copypedia is made available to you on the Terms. You may only use Copypedia in accordance with these Terms, and any applicable Additional Terms. In particular but without limitation, you may not use Copypedia for any purpose that is unlawful or prohibited by these Terms, any applicable Additional Terms, or any other conditions, notices, rules, limitations, etc. that are made available on Copypedia.

Copypedia is not a law firm and does not provide legal advice. Using Copypedia or sending an email to Copypedia does not create an attorney-client relationship. In particular but without limitation, use of any of Copypedia, Tools, Services, Websites, etc. does not constitute legal advice nor does it create an attorney-client relationship. You are encouraged consult with your own legal counsel before using Copypedia. Copypedia provides all Websites, Content, Services, Tools, etc. on an "as-is" basis, and Copypedia makes no warranties regarding any information, tools or licenses provided on or through Copypedia, and disclaims liability for damages resulting from their use.

5. User Conduct.

Copypedia strives to provide a website that allows all visitors to enjoy and share content thereon. Copypedia respects the ownership of content that users may share, noting that each user is responsible for any content shared or provided. Copypedia does not actively monitor user content and will not censor user content, except in limited circumstances described below. Limitations that accompany these circumstances comply with legal requirements and are intended to achieve the goal of making Copypedia a better experience for all. Limitations and other rules of conduct may change from time to time, and the right to do so is reserved.

In this regard, a user of Copypedia ("User") agrees to the following:

1. User will not post, use or transmit Content that the User does not have the right to post or use, for example, under intellectual property, confidentiality, privacy or other applicable laws;

2. User will not use Copypedia for any unlawful purposes or in furtherance of illegal activities. Non-US users agree to comply with applicable laws (including local) regarding use of Copypedia;

3. User will not post, use or transmit unsolicited or unauthorized Content, including advertising or promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of unsolicited or unwelcome solicitation or advertising;

4. User will not post, use or transmit Content that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or otherwise interfere with or disrupt Copypedia or servers or networks connected to Copypedia, or that disobeys any requirements, procedures, policies or regulations of networks connected to Copypedia;

5. User will not post or transmit Content that is harmful, offensive, obscene, abusive, invasive of privacy, defamatory, hateful or otherwise discriminatory, false and misleading, incites an illegal act, or is otherwise in breach of your obligations to any person or contrary to any applicable laws and regulations;

6. User will not post content that is pornographic or sexually explicit. This includes, by way of example, text, images, videos, audio, etc. of sexual acts, arousing or provocative nudity, or depictions of sexual arousal. This applies to any profile photo. Copypedia reserves the right to remove content it feels is in violation of this rule of conduct, or any Term;

7. User will not publish or post direct, specific threats of violence against others, nor intimidate or harass another ;

8. User will not use or attempt to use another’s account, service, or personal information;

9. User will not sell or transfer a Copypedia account or profile;

10. User will not remove, circumvent, disable, damage or otherwise interfere with any security-related features that enforce limitations on the use of Copypedia;

11. User will not attempt to gain unauthorized access to Copypedia, other accounts, computer systems or networks connected to Copypedia, through hacking password mining or any other means or interfere or attempt to interfere with the proper working of Copypedia or any activities conducted through Copypedia;

12. User will not use any means to bypass or ignore robots.txt, or other measures Copypedia uses to restrict access or use of Copypedia;

13. User will not publish or link to content intended to damage or disrupt another’s browser or computer, or to compromise a privacy or login information of another;

14. User will not publish or post another’s private and/or confidential information (such as credit card numbers, street address, etc.) without express authorization and permission;

15. User will not impersonate another person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity, especially in a manner that does or is intended to mislead, confuse, or deceive others;

16. User will not create accounts for disruptive, nefarious, illegal, abusive, etc. purposes; creation of multiple accounts for such reasons may result in suspension of all related accounts;

17. User will not post or transmit any personally identifiable information about persons under 13 years of age.

User will not frame or otherwise co-brand Copypedia (for example, by displaying a name, logo, trademark or other means of attribution of a third party that is reasonably likely to give the user the impression that that third party has the right to display, publish or distribute

Copypedia reserves the right to restrict the use of certain user names and profile URLs on behalf of businesses or individuals that hold legal claim or trademark rights on those user names or profile URLs, or that otherwise appear to be profile URL squatting. An account that uses a name, logo, etc. to confuse or mislead others may be permanently suspended. Accounts that are inactive for more than six months may also have their profile URLs removed or reclaimed without further notice.

Copypedia will respond to clear, complete, and otherwise statutorily compliant notices of alleged copyright infringement. Copypedia copyright procedures are set forth in the DMCA Policy.

This list of limitations and rules of user conduct is not exclusive. Copypedia prohibits users or any other person from engaging in any activity that Copypedia, in its sole discretion, determines is offensive, interferes with the rights of others, or causes harm to any person, including to Copypedia and its employees. Violation of, or acting inconsistently with, the letter or spirit of the Terms may result, in appropriate consequences at the discretion of Copypedia, including suspension, cancellation, or termination of applicable accounts. The preceding sentence shall not in any way limit any other remedy, legal, equitable or otherwise, that Copypedia may pursue.

6. Content on Copypedia.

Copypedia contains graphics, images, information, data, user generated information, editorial, and other content accessible by Users (the "Content"). Except for content owned by third parties, all Content is owned, licensed to, and/or copyrighted by Copypedia and may be used only in accordance with the Terms. The Websites are protected by copyright, including as a collective work and/or compilation, pursuant to U.S. copyright laws, international conventions, and other copyright laws.

1. Responsibility for Content. You understand that all material, data and information, such as data files, written text, third party public information, computer software, music, audio files or other sounds, screenshots, photographs, videos or other images, and so forth (collectively, "Content") which you may have access to as part of, or through your use of Copypedia are the sole responsibility of the person from which such Content originated. This includes assertions that persons may make, expressly or impliedly, about the provenance and ownership of Content that they supply, upload, list and/or link to.

2. User Provided Content: Copypedia uniquely allows Users to contribute material to be displayed on the Websites or shared with other Users ("User Provided Content"). For all User Provided Content, Copypedia is merely hosting and providing access and/or a platform, forum, or tools to post and share content. Copypedia accepts no liability with regard to such material (including with respect to its accuracy). While Copypedia does not preview or monitor User Provided Content, it may, at its discretion, use automated filtering tools or other technology to monitor and/or delete any content that Copypedia believes to be in violation of this TOS. Copypedia at all times reserves the right to remove or disable access to any User Provided Content that is believed in violation of TOS. A report of use of any creative content ("Copy Report") is a specific category of User Provided Content. User Provided Content is a category of Content.

3. The decision to upload, share information, or create User Provided Content to Copypedia is your responsibility and you should only submit or share content that belongs to you or that will not violate the rights of others. Be aware that content belongs to the creator of that content and you should not reproduce or submit anything without permission of the owner.

By submitting material or content to Copypedia, you represent that you have the legal right and ability to do so or that you have obtained any necessary third party consent or permission (such as under privacy or intellectual property laws). Upon the request of Copypedia you agree to furnish Copypedia with any documentation, substantiation, and releases necessary and reasonably required to verify and your compliance with the TOS.

4. By creating, submitting, providing, etc. User Provided Content to Copypedia, you grant Copypedia and all of its affiliates, a transferable license to use, host, sublicense and distribute your submission to the extent and in the form or context we deem appropriate on or through any media or medium and with any technology or devices now known or hereafter developed or discovered. You hereby release Copypedia from any and all claims, liens, demands, actions or suits in connection with the User Provided Content, including, without limitation, any and all liability for any use or nonuse of your User Provided Content, claims for defamation, invasion of privacy, right of publicity, emotional distress or economic loss.

5. If you use Copypedia on behalf of a group, organization or business entity, you represent that you have the right to do so and that you have obtained any consents from the group, organization or business.

6. You acknowledge that Copypedia does not make any representations or warranties about the Content, including without limitation, about the accuracy, integrity or quality of the Content made available at the instigation of users of Copypedia. You understand that by using Copypedia, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances is Copypedia liable in any way for any Content, including, but not limited to: any infringing Content, any errors or omissions in Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, transmitted to, linked to or otherwise accessible or made available via the Websites and Services.

7. Licenses Associated With Content on Copypedia.

i. All Content made available Copypedia is owned by Copypedia or its licensors (or creators), including User Provided (or generated) Content for which a license is granted to Copypedia.

ii. Your User Provided Content: You retain the copyright in your Content that you provide, create, publish, etc. on or in connection with Copypedia. You hereby agree that you have the right to voluntarily provide all your Content to Copypedia. In addition, you hereby agree that all your Content you voluntarily provide to Copypedia is given with a perpetual, world-wide, irrevocable, non-exclusive license, or is in the public domain (such as Content you or another make available).You may otherwise license your Content on any terms or no terms at all, but upon uploading, sharing, creating, etc. your Content on or with Copypedia, you are licensing such Content under any such license that may apply to your Content.

iii. You may only submit Content to the Websites or in connection with the Services that you have the right to submit. This generally means that you can only submit Content that you yourself create, that is in the public domain, or that you have been expressly granted the right to submit consistent with the Terms. For the avoidance of doubt, Content that infringes the rights of any third party (e.g., Content used without express permission of the copyright owner and not otherwise permitted by law) must not be submitted. You represent, warrant and agree that no Content of any kind submitted, posted, created, or otherwise shared by you on or through Copypedia, violates or infringes upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary rights, or contains libelous, defamatory or otherwise unlawful material. Further, you represent, warrant and agree not to submit any personally identifiable information, including any Content containing personally identifiable information, about any person who is under 13 years of age.

iv. Third Party Content and Third Party Websites (See Section 7 below) that Copypedia links to or embeds in the Websites or that are provided through the Services, including but not limited to blogs and news feeds, are subject to the license terms accompanying such Content. For Third Party Content and Third Party Websites that Copypedia supplies, as a courtesy Copypedia will take reasonable steps to clearly mark any such Third Party Content or Third Party.

iv. Third Party Content and Third Party Websites (See Section 7 below) that Copypedia links to or embeds in the Websites or that are provided through the Services, including but not limited to blogs and news feeds, are subject to the license terms accompanying such Content. For Third Party Content and Third Party Websites that Copypedia supplies, as a courtesy Copypedia will take reasonable steps to clearly mark any such Third Party Content or Third Party.

8. Copypedia may, but is not obligated to, review your submissions and may delete or remove (without notice) any Content in its sole discretion that Copypedia determines violates the Terms or that may be offensive, illegal, or that might violate the rights, harm or threaten the safety of others. Copypedia does not endorse or support any Content posted by you or any other third party on or through Copypedia. You alone are responsible for creating backup copies and replacing any Content you post on Copypedia, and you authorize Copypedia to make copies of your Content as deemed necessary in order to facilitate the posting of your Content on Copypedia.

9. You have limited ability to remove or edit Your User Provided Content once it has been provided to Copypedia; however, you grant Copypedia the right to retain and display any portion of your Content it desires to. Moreover, although some of your Content may be removed, Copypedia cannot remove Content from email archives, archive websites, internet history pages, blogs, and similar community forums where you may post content, or others’ computers, such as Content you may have sent to others in an email posted. If you choose to edit some of your Content in the manner provided for, the license you granted Copypedia when submitting such Content will remain in full force and effect in accordance with its terms.

10. You may use the Content you find on Copypedia in accordance with the terms of the license applicable to that Content. You must not remove or alter any copyright, trademark, name or other notice or legend that appears in connection with the Content. You represent and warrant to Copypedia that you will use any and all Content on Copypedia in accordance with the applicable license. You should be sure to review the terms of that license before you use the Content to which it applies so that you know what you can and cannot do. By using Copypedia, you agree that you are solely responsible for your use of any and all Content made available thereon. You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the provenance, ownership, accuracy, completeness, or reliability of such Content. In this regard, you acknowledge that you may not rely on any Content made available on the Websites or Services without your own independent evaluation of that Content. Copypedia does not guarantee that Content made available on Copypedia does not infringe the rights of any third party.

7. Third Party Websites and Content Links.

Copypedia may contain links to websites not controlled by Copypedia ("Third Party Websites"), as well as Content belonging to or originating from persons or organizations other than Copypedia ("Third Party Content"). You acknowledge that Copypedia is not responsible or liable for any Third Party Websites or any Third Party Content, information or products made available at any Third Party Website, regardless of whether Third Party Websites provide the option for users to apply Copypedia licenses to Content hosted on those sites, or whether any Third Party Website or Third Party Content bears a Copypedia license. You further acknowledge that Copypedia:

i) is not responsible or liable for any Third Party Websites or any Third Party Content, information or products made available at any Third Party Website;

ii) has not reviewed any Third Party Websites or Third Party Content for accuracy, appropriateness, completeness or non infringement;

iii) has not sponsored or otherwise endorsed Third Party Websites or Third Party Content; and

iv) makes no representations or warranties whatsoever about any Third Party Websites or Third Party Content.On occasion a User may use a Copypedia authorized Third Party or external mechanism (such as a mobile application, plug in, one-click response via email, and so forth) to enable submission or creation of Content on Copypedia. The User agrees that the Terms apply to any such instance.

8. Participation with Copypedia: Unregistered or Registered Users.

Registering for an account on or with Copypedia is void where prohibited. Only persons who are over the age of majority in their jurisdiction (which typically is 18, but may be different in your jurisdiction) and fully competent to enter into agreement and acceptance of the Terms, and to abide by and comply with the Terms, may register for an account and use Copypedia; provided, however, that if you are under the age of majority in your jurisdiction but over 13 years of age, you may join with the express permission of your parent or legal guardian.

Any registration by, use of or access to Copypedia provided to Registered Users (defined below) by anyone (1) under the age of 13 or (2) under the age of majority in their jurisdiction but without parental or guardian permission, is unauthorized, unlicensed and a violation of these Terms. By registering for an account with Copypedia you represent and warrant that you (1) are the age of majority in your jurisdiction or, (2) are over the age of 13 and have the express permission of a legal guardian to become a Registered User and use Services made available to Registered Users, and you further agree to abide by all of the terms and conditions of these Terms and any applicable Additional Terms.

Services offered to Registered Users are provided subject to these Terms and any Additional Terms. Copypedia reserves the right to modify or discontinue the accounts of Registered Users at any time. CRS disclaims any and all liability to Registered Users and third parties in the event Copypedia exercises its right to modify or discontinue user accounts.

Registration; Security. You agree to (a) provide accurate, current and complete information about you, if and as may be prompted by the registration process on the any of the Websites, (b) maintain the security of your password(s) and identification, (c) maintain and promptly update your registration information and any other information you provide to Copypedia, and to keep it accurate and complete to, among other things, allow us to contact you, and (d) be fully responsible for all use of your account and for any actions that take place using your account. It is your responsibility to ensure that Copypedia has up-to-date contact information for you. You may not set up an account or membership on behalf of another individual or entity unless you are authorized to do so.

No Membership Required. As used in the Terms, a "Registered User" means a person who has registered and obtained a custom account with Copypedia. Becoming a Registered User or using Copypedia does not and shall not be deemed to make you a member, shareholder or affiliate of Copypedia for any purposes whatsoever.

Subscription. Users of Copypedia may be unregistered visitors, registered guests, paying subscribers, and the like. Some aspects of Copypedia may only be available by subscription or by payment of a fee. Any terms and conditions applying to such subscriptions or other services will be incorporated into the Terms.

Any subscription is automatically renewed with the exception of gift subscriptions and pay-per view. This means that once you become a subscriber, your subscription will be automatically renewed and your billing choice will be charged based on the subscription program (semiannually, quarterly, monthly, etc.) you have chosen unless you opt out or cancel by following the instructions in this TOS. You will be notified in the manner you indicate to Copypedia before your subscription ends and asked to correct any information which has changed and whether you wish to "opt out" of your renewal. The renewal of the subscription takes place subject to the TOS in force on the date of renewal.

You may opt out of renewing your subscription by logging into your Copypedia Profile page on the Websites at least three days before the renewal date. If you do not let us know that you want to terminate your subscription at least three days prior to the end of the current subscription period, the payment for the renewal period of the subscription will be made.

Termination; Termination and Inactivation of User Accounts. Your participation as a Registered or Unregistered User may be terminated automatically upon your breach of any of these Terms or applicable Additional Terms.

In addition, Copypedia may, at any time:

i) modify, suspend or terminate the operation of or access to your user account for any reason;

ii) modify or change Copypedia and any applicable Terms and policies governing user account and related; and

iii) interrupt user accounts and related for any reason, all as Copypedia deems appropriate in its discretion. Your access to your account, and use of Copypedia may be terminated by you or by Copypedia at any time and for any reason whatsoever, without notice.

In addition, Copypedia reserves the right to delete and purge any account and all Content associated therewith following any prolonged period of inactivity, all as may be determined by CRS in its complete discretion.







11. Indemnification (Ex. Breach of Terms).

You agree to indemnify and hold harmless Copypedia (including Copypedia Parties, etc.) from and against any and all loss, expenses, damages, and costs, including without limitation reasonable attorneys fees, resulting, whether directly or indirectly, from your violation of the Terms. You also agree to indemnify and hold harmless Copypedia from and against any and all claims brought by third parties arising out of your use of Copypedia and the Content you make available by any means, including without limitation through a posting, a link, reference to Content, or otherwise.

12. Privacy Policy.

Copypedia is committed to handling responsibly the information and data we collect Copypedia and agrees to use your personal information in accordance with the Privacy Policy and the Terms. The Privacy Policy is hereby incorporated by reference into these Terms.

13. Intellectual Property.

Copypedia may contain intellectual property, including trademarks, service marks, logos and other names that are the property of Copypedia or such other party as indicated with respect to that name or icon. In the case of Copypedia intellectual property, including trademarks,servicemarks, logos, icons, copyright material, etc. these may only be used by express written authority and agreement from Copypedia.

14. Copyright Complaints; DMCA Policy.

Copypedia respects the intellectual property rights of others, and users of Copypedia are prohibited from submitting, uploading, posting, creating, transmitting, etc. any material or content that violates the intellectual property rights of another. Copypedia has adopted the DMCA Policy toward copyright infringement in accordance with the Digital Millennium Copyright Act (the "DMCA"). The address of Copypedia’s Designated Agent for DMCA notices ("Designated Agent") is listed below, and the

Designated Agent has been established with proper documentation sent to the US Copyright Office.

If you believe that material or content residing or accessible on or through Copypedia infringes a copyright, please send a DMCA notice containing the following information to the Designated Agent at the address below:

1. Identification of the work or material being infringed;

2. Identification of the material that is claimed to be infringing, including its location, with sufficient detail so that Copypedia is capable of finding it and verifying its existence;

3. Contact information for the notifying party (the "Notifying Party"), including name, address, telephone number, and email address;

4. A statement that the Notifying Party has a good faith belief that the material is not authorized by the copyright owner, its agent or law;

5. A statement made under penalty of perjury that the information provided in the notice is accurate and that the Notifying Party is authorized to make the complaint on behalf of the copyright owner; and

6. A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright that has been allegedly infringed.

Please note the information provided in DMCA Notice may be forwarded to the User who posted the allegedly infringing content. After removing material pursuant to a compliant DMCA notice, Copypedia will immediately notify the User responsible for the allegedly infringing material that it has removed or disabled access to the material. It is Copypedia policy to terminate usage rights and any applicable User accounts of Users determined or found to be "repeat infringers" of others’ copyrights. Copypedia reserves the right, in its sole discretion, to terminate any User for actual or apparent copyright infringement.

If you believe you are the wrongful subject of a DMCA Notice ("Counter-Notifier"), you may file a counter-notification with Copypedia by providing the following information to the Designated Agent at the address above:

1) The specific URLs of material that Copypedia removed or disabled access to.

2) Counter-Notifier name, address, telephone number, and email address.

3) A statement that you consent to the jurisdiction of Federal District Court for the judicial district in which your address is located (or the federal district courts located in Delaware if your address is outside of the United States), and that you will accept service of process from the person who provided the original DMCA notification or an agent of such person.

4) The following statement: "I swear, under penalty of perjury, that I have a good faith belief that the material was removed or disabled as a result of a mistake or misidentification of the material to be removed or disabled."

5) Your signature.

Upon receipt of a valid counter-notification, Copypedia will forward it to Notifying Party who submitted the original DMCA notification. The original Notifying Party (or the copyright holder he or she represents) will then have ten (10) days to notify Copypedia that he or she has filed legal action relating to the allegedly infringing material. If Copypedia does not receive any such notification within ten (10) days, Copypedia may restore the material previously removed or disabled.

Content hosted on Third Party Websites is the responsibility of those Websites, and not of Copypedia, regardless of whether the Content bears any form of indicator of CRS. If you are the copyright owner of Content hosted on a Third Party Website, and you have not authorized the use of your Content, please contact the administrator of the hosting Website directly to have the Content removed.

15. Termination of this Agreement.

These Terms and any Additional Terms will continue to apply even if terminated by either you or Copypedia as set out below. Your right to access and use Copypedia terminates automatically upon your breach of any of these Terms or Additional Terms.

Copypedia may, at any time:

i) modify, suspend or terminate the operation of or access to Copypedia, or any portion of Copypedia, for any reason;

ii) modify or change Copypedia, or any portion of Copypedia, and any Terms, Additional Terms and other policies governing the use of Copypedia, for any reason;

iii) interrupt the operation of Copypedia, or any portion of Copypedia, for any reason, all as Copypedia deems appropriate in its sole discretion.

Your access to, and use of, Copypedia may be terminated by you or by Copypedia at any time and for any reason. Copypedia will use reasonable efforts to notify you in advance about any material modification, suspension or termination by Copypedia that is not caused by your breach of the Terms.

The disclaimer of warranties, the limitation of liability and the jurisdiction and applicable law provisions shall survive any termination. Any license grants mentioned herein shall continue in effect subject to the terms of the applicable license. Your warranties and indemnification obligations shall survive any termination.

16. Miscellaneous Terms.

These Terms and any Additional Terms are governed by and construed by the laws of the State of Delaware, in the United States, exclusive of its choice of law rules. The parties agree that any disputes or proceedings between Copypedia and you concerning these Terms, any Additional Terms, and/or any of Copypedia shall be brought in a federal or state court of competent jurisdiction sitting in the State of Delaware, and hereby consent to the personal jurisdiction and venue of such court.

Either party’s failure to insist on or enforce strict performance of any of the Terms shall not be construed as a waiver of any provision or right. If any term or part of the Terms is held to be invalid or unenforceable by any law or regulation or final determination of a competent court or tribunal, that provision will be deemed severable and will not affect the validity and enforceability of any remaining provisions. The parties agree that no joint venture, partnership, employment, or agency relationship exists between you and Copypedia as a result of these Terms, any Additional Terms, or your use of any of Copypedia.

These Terms and any applicable Additional Terms constitute the entire agreement between you and Copypedia relating to this subject matter and supersede all prior, contemporaneous and future communications (with the exception of future amendments to the Terms as made available by Copypedia from time to time) between you and Copypedia. A printed version of the Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based on or relating to the Terms to the same extent and subject to the same conditions as other business documents and records originally generating and maintained in printed form.

These Terms of Use are Effective as of April 15, 2014.
